Problem:   One or more persons wants to form a non-profit entity and obtain a determination from the IRS that the entity formed qualifies as a Section 501(c)(3) tax-exempt entity.
Solution: Cooper Law LLC would assist a client to form a non-profit company and to secure a determination from the Internal Revenue Service that it qualifies as a 501(c)(3) tax- exempt entity.  This would involve advising the client on how to structure the company operations to comply with the requirements to gain such determination, including reviewing and revising (or drafting) the company’s certificate of incorporation, bylaws and conflict of interest policy, and assisting the client in completing and submitting IRS Form 1023 or IRS Form 1024 with their respective attachments and responding to IRS challenges with respect to such submission.
