Cooper Law LLC provides counsel and legal services to businesses, their owners or principals and to entrepreneurs who wish to form business entities.  Isaiah D. Cooper, the founder of Cooper Law LLC, helps his clients to understand the legal implications of complex business transactions and structures, enabling them to capitalize on opportunities, avoid problems, and achieve their goals.  He has extensive experience drafting and negotiating contracts relating to day-to-day business operations.  Isaiah is committed to providing his clients with personalized attention and service.  While he no longer claims to be a tax attorney, Mr. Cooper’s background in tax law influences his advice to his clients and allows him to communicate clearly with tax attorneys and accountants.  Cooper Law LLC’s practice is centered around helping its clients with business transactions, including (but not limited to) the buying and selling of companies and/or assets, the operation of companies including agreements with employees, consultants, manufacturers, distributors and customers, the protection of companies through drafting of buy-sell arrangements, the negotiation of disputes among shareholders, members or partners of companies, documenting loans and lines of credit provided by banks and other lenders in exchange for the issuance of promissory notes, documenting investment transactions from investors in exchange for the issuance of stock or specialized LLC interests, and the proper structure and formation of companies. Cooper Law LLC’s practice also includes the development of long-term incentive compensation plans (for both corporations and limited liability companies), and the formation and qualification of non-profit entities as Internal Revenue Code Section 501(c)(3) tax exempt entities. Cooper Law LLC has established sub-contractor and strategic relationships with attorneys who can provide services to its clients with respect to trademarks, copyrights, real estate and estate planning.  These relationships allow Cooper Law LLC to take on a larger transaction and be able to have the personnel needed to complete the work required for the transaction. Cooper, in 2004.  Isaiah started out working from his basement in Hamden, but quickly found space at New Haven Executive Centre, LLC at 205 Church Street, in New Haven (the old Union Trust Company building). Cooper Law LLC was located there until the end of October 2009, when the new owner of that building forced all of the tenants to move out in anticipation of converting that building into a high-end hotel. At that point, after looking at many potential office spaces, Cooper Law LLC became virtual, with Isaiah working largely from his home in Hamden, CT, and his assistants and colleagues working from their own homes or offices. Isaiah meets with his clients at his home, at their offices or homes, at the offices of the Greater New Haven Chamber of Commerce, or in restaurants. Although the New Haven office was across the street from the old Connecticut Superior Court building (at Church and Elm Streets), as a transactional attorney, Isaiah only goes to court when he gets a traffic ticket.  Isaiah structures his client’s transactions to help them to avoid litigation.
